1. Introduction
Welcome to Vizasound, a platform for creating, generating, editing, hosting, and sharing short-form “jingles” and related creative works, including lyrics, music, images, and video. By accessing or using the service, you agree to these Terms. If you do not agree, do not use the service.
2. Eligibility & Account Registration
To create or save content you must have an account. You may register with an email and password or sign in with Google, Discord, or Apple single sign-on. Keep your credentials secure and notify us of any suspected compromise. The service is not intended for children under 16.
3. Your License to Use the Service
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use Vizasound for personal, non-commercial purposes, unless we expressly agree otherwise in writing. You may not reverse engineer, scrape, harvest data, use automated means to access the service except as expressly permitted, interfere with service operation, circumvent security or quotas, or use the service in violation of law. We reserve all rights not expressly granted.
4. User-Generated Content (Ownership, Public/Private, and Licenses)
- Ownership: As between you and Vizasound, you retain ownership of the original content you submit, upload, or create through the service, subject to any rights of third parties and the licenses you grant in these Terms.
- Your responsibility for content: You represent and warrant that you own or control all rights necessary to submit prompts, upload source materials, and create or share your content, and that your content and use of the service do not violate these Terms, applicable law, or the rights of any person or entity.
- Public vs. Private: You choose whether a jingle is public or private. Public jingles may appear on our site/app and may be distributed through our sharing features, feeds, embeds, APIs, partner channels, or other promotional or distribution surfaces. Private jingles are not shown to the community or third parties except as needed to provide the service, maintain security, comply with law, investigate abuse, or respond to support requests.
- License you grant to us for Public content: For any content you make public, you grant Vizasound and its affiliates, successors, service providers, partners, and sublicensees a worldwide, non-exclusive, royalty-free, fully paid-up, transferable, sublicensable license to host, store, cache, reproduce, adapt, modify for technical purposes, reformat, translate, create derivative materials from, publish, publicly display, publicly perform, transmit, distribute, syndicate, promote, market, advertise, feature, and otherwise use that public content and related metadata (such as title, cover image, caption, username, profile name, and thumbnails) in connection with operating, improving, distributing, promoting, marketing, advertising, and showcasing the service and our business.
- Examples of permitted platform use: Without limiting the license above, we may use public content in feeds, recommendations, playlists, search results, editorial collections, emails, notifications, ads, social media posts, demos, investor or partner presentations, storefronts, app listings, screenshots, highlight reels, compilations, and similar promotional or operational uses. We may create and use excerpts, clips, previews, thumbnails, captions, and resized or reformatted versions of public content for those purposes.
- Duration of license for public content: This license lasts for so long as the content remains public or otherwise available on the service, and for a reasonable period thereafter to allow for backup systems, security review, legal compliance, technical wind-down, and removal from caches, search indexes, partner surfaces, and other distributed systems.
- Private content: For content you keep private, you grant us a limited worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, adapt, transmit, and display that content only as needed to provide, secure, maintain, debug, support, and improve the service for you, enforce these Terms, investigate abuse, comply with law, and protect rights, safety, and security. We do not intentionally distribute private jingles publicly.
- Unfinished content: Jingles that are started but not completed (for example, where a video has not yet been generated) appear in My Jingles and can be edited to continue creation. Unfinished jingles are automatically deleted after 2 days. A jingle is considered complete once a video is created and a thumbnail or video preview is shown instead of the edit icon.
- Private content retention: Private jingles may be removed from our systems within 30 days of creation or account deletion, subject to backup retention, fraud prevention, legal retention obligations, and the timelines described in our Privacy Policy. Please download anything you wish to keep.
- Third-party copies: If content was public, it may have been viewed, downloaded, copied, remixed, indexed, cached, or stored by other users, search engines, partner services, or third-party sites while it was public. We cannot guarantee removal from third-party sites, feeds, indexes, mirrors, or caches once distributed.
- License to other users: For public jingles, you grant other users of the service a personal, non-commercial, revocable license to view, stream, listen to, and share that content only through functionality we provide, subject to these Terms.
- No obligation to publish or retain: We may, at any time and for any reason, remove, restrict, reclassify, demonetize, refuse to publish, stop distributing, or delete any content, and we are not obligated to host or retain any content.
5. Content Rules (Usernames, Lyrics, Images & Video)
You may not post, upload, prompt for, transmit, or otherwise make available content (including usernames, lyrics, images, audio, videos, tags, prompts, negative prompts, profile materials, direct messages, and metadata) that is illegal, infringing, deceptive, spammy, defamatory, hateful, harassing, violent, self-harm encouraging, sexually explicit or exploitative (especially involving minors), invasive of privacy, or that discloses personal data without consent. Impersonation, fraud, malicious code, attempts to defeat safety systems, and attempts to generate content that unlawfully imitates or reproduces protected copyrighted works, characters, performances, or brand assets are prohibited. We may remove content or restrict accounts at any time, and repeat violations may lead to suspension or termination.
6. Moderation & Community Reporting
Vizasound uses a combination of automated checks and human moderation. Logged-in users can report problematic content or bugs using the “Report” link at the bottom of any page. We may review, remove, limit the visibility of, age-gate, geo-block, demonetize, or restrict access to content, features, or accounts at our discretion to keep the community safe, comply with law, reduce risk, and keep the service reliable.
7. AI & Third-Party Services
- Third-party generation providers: To generate or enhance content you request, we may route prompts, settings, uploaded files, reference media, and other relevant inputs to third-party providers acting on our behalf or providing underlying generation technology, including (without limitation) OpenAI and Google (lyrics/text and certain images), Mureka and MusicGPT (music), and Kling, ByteDance, and Runway (video). Payments may be processed by providers such as Stripe and, where applicable, Apple or Google.
- Outputs may be unpredictable: AI-generated outputs may be unavailable, delayed, incomplete, inaccurate, offensive, low quality, or inconsistent with your instructions. Outputs may also resemble, be similar to, or overlap with content created for other users or content that already exists in the world.
- No guarantee of originality or non-infringement: We do not review every output before publication and do not guarantee that any output will be unique, original, non-infringing, merchantable, fit for a particular purpose, or free of third-party claims.
- You are responsible for your prompts and use: You may not use the service to intentionally generate, upload, request, or distribute content that infringes or misappropriates the rights of others, including copyrighted songs, lyrics, scripts, characters, sound recordings, films, trademarks, publicity rights, or other protected material.
- Provider policies and changes: Third-party providers operate under their own terms, policies, capabilities, restrictions, safety systems, uptime commitments, and business decisions. We are not responsible for third-party outages, output changes, policy changes, refusal to process requests, or provider errors. We may add, remove, or change providers at any time, including in response to quality, safety, legal, or business concerns.
- Compliance actions: If we become aware that content may violate law, third-party rights, or provider rules, we may remove or disable access to that content, issue warnings, suspend or terminate accounts, comply with takedown requests, and take any other action we consider appropriate.
8. Credits, Pricing & Charges
- Some actions (e.g., generating lyrics, music, images, or video) consume credits. Current pricing is at our Pricing page.
- Purchased credits are valid for one year from the date of purchase, unless otherwise stated at the time of purchase.
- Free credits, including those from new account registration or promotional codes, are valid for 90 days from the date they are granted, unless otherwise stated.
- When a feature has a cost, the price is displayed on the page (typically on the button). By clicking, you authorize us to deduct credits or charge the shown amount. Because we may incur immediate third-party costs once processing begins, orders cannot be canceled once generation starts.
- If a generation fails due to a system error, an automatic refund may be applied where our systems determine that the failed job qualifies. You can review your credit balance and transaction history (including automatic refunds) in My Credits. For payment issues contact support@vizasound.com.
9. Incomplete or Interrupted Jingles
If a job is interrupted (for example due to errors, timeouts, provider issues, policy checks, or because you stopped it), you may be able to resume from My Jingles by opening the partial jingle. Additional processing may consume credits as indicated at the time you continue.
10. Access to the Service
- Viewing public content is free worldwide without an account unless specific features, regions, or content are restricted.
- You must be logged in to create content, save drafts, interact with content, or use account-only features.
- Direct messaging is available only for eligible users and may require a mutual follow relationship between both users. If either user unfollows, new direct messages may be disabled.
- You are responsible for the content of direct messages you send, and messaging is subject to these Terms, including our content and safety rules.
- If you enable notifications, we may send in-app, push, and email notifications related to your account, messages, content, purchases, refunds, moderation actions, and service updates. You can manage most notification preferences in Settings, your device OS notification controls, or email unsubscribe links (where available).
- Recommendations, ranking, and distribution may consider signals such as likes, follows, views, watch time, saves, shares, tags, freshness, settings, and other engagement or quality signals. We make no guarantees that any content will be recommended, ranked, or widely distributed.
11. Copyright Complaints (DMCA)
If you believe content on the service infringes your copyright, email support@vizasound.com with: (a) your contact details; (b) a description of the copyrighted work you claim has been infringed; (c) the URL or other information reasonably sufficient to locate the allegedly infringing material; (d) a statement under penalty of perjury that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; and (e) a statement that the information in your notice is accurate and that you are the owner or authorized to act on the owner’s behalf.
We may remove or disable access to allegedly infringing material, notify the affected user where appropriate, request additional information, and take other steps we consider necessary to comply with applicable law. We maintain a policy of terminating, in appropriate circumstances, users who are repeat infringers.
12. Termination & Account Deletion
- You may close your account at any time from My Profile → Close account. Content on Vizasound’s servers is removed as described in our Privacy Policy.
- We may suspend, restrict, or terminate accounts or access to features for violations of these Terms, legal risk, abuse, suspected fraud, safety concerns, or if required by law or provider obligations.
- We are not obligated to refund unused credits upon suspension or termination for cause, except as required by law.
- We cannot guarantee removal of public content from third-party sites, caches, mirrors, feeds, or indexes that accessed it while public.
13. Our Intellectual Property
The service, including our software, interface, compilations, branding, logos, trademarks, trade dress, design elements, workflows, documentation, and other platform materials, are protected by intellectual property and other laws. Except as expressly allowed by these Terms or applicable law, you may not use, copy, modify, distribute, or create derivative works from our service or branding without our prior written permission.
14. Disclaimers
THE SERVICE, INCLUDING ALL AI-GENERATED OUTPUTS, IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIZASOUND DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, AND THAT OUTPUTS WILL BE UNIQUE, ORIGINAL, ERROR-FREE, UNINTERRUPTED, OR SUITABLE FOR ANY SPECIFIC USE. We do not guarantee uninterrupted or error-free operation or that any content, output, or result will meet your expectations.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIZASOUND AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, PROVIDERS, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, YOUR CONTENT, AI OUTPUTS, THIRD-PARTY PROVIDER SERVICES, OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE 6 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) US $100.
16. Indemnification
You agree to defend, indemnify, and hold harmless Vizasound, its affiliates, officers, directors, employees, contractors, licensors, providers, and partners from and against any claims, demands, liabilities, damages, losses, judgments, settlements, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your content, prompts, uploads, or outputs you create, publish, share, or distribute; (b) your use of the service; (c) your violation of these Terms or applicable law; or (d) your infringement or alleged infringement of any third-party right.
17. Governing Law & Disputes
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the service will be resolved by binding arbitration in Alameda County, California, on an individual basis; you and we waive class actions, class arbitration, and jury trials. Nothing in this section prevents either party from seeking injunctive or equitable relief in court to protect intellectual property, confidential information, platform security, or to prevent abuse.
18. Changes to These Terms
We may update these Terms to reflect changes to our services, business practices, providers, or legal requirements. We will post the updated Terms here and, when appropriate, notify you via the service or email. Continued use of the service after the updated Terms become effective means you accept them.
